Whoa, it's going back to the dekstop (ala ALT-TAB) but not crashing the game? Sorry didn't notice thjat in your original post.
That's strange. Sounds like some other running application is trying to steal the screen focus.
I remember having a problem like this once and it was because of a background TSR application. Shot in the dark but try disabling anything running in the background that's not neccessart. Maybe something's misbehaving.
And Pred, although 256 should work okay, I'd try putting the AGP aperature on the default (64) for now till you sort it out. Some boards do have a problem with any setting but default.

ya i should have cleared that up before its just like alt-tabing out of the game. So far i've closed all unessessary background aps and sometimes it does it others it don't... Wondering if my keybaord might be acting goofy come to think of it. Cause about 1 out of 5 times when i reboot i lose the keyboard when i hit the desktop and gotta reboot again.

Have you tried changing the ram? I know I had a prob while playing games like morrowind, ut2k3 demo, CS, and a few others. It would all suddenly crash to the desktop or randomly reboot. I fooled around with my system and believed it was faulty ram. As soon as I removed one stick of 256 the problems cleared up
