"
SANTA CLARA, CA - DECEMBER 15, 2000 - NVIDIA® Corporation (Nasdaq: NVDA) today announced that it has signed a definitive agreement to acquire certain graphics related assets of 3dfx Interactive (Nasdaq: TDFX), a pioneer and a recognized leader in graphics technology. These graphics related assets include, but are not limited to, patents, pending patent applications, trademarks, brand names, and chip inventory related to the graphics business of 3dfx. In addition, 3dfx and NVIDIA have agreed to stay the patent infringement litigation between them through the closing of the transaction, at which time it will be jointly dismissed with prejudice.

Under the terms of the agreement, NVIDIA will pay to 3dfx a total consideration of $70 million in cash and 1 million shares of common stock. The asset acquisition has been approved by the board of directors of each company and is subject to 3dfx shareholder approval, the satisfaction of regulatory requirements and other customary closing conditions. This acquisition will be accounted for as a purchase and is expected to be complete in the first quarter of NVIDIA's fiscal year 2002."

If they was so close to being bankrupt, why did it have a 70 mil price tag ?

70 millions was a pittance to get rid of a competitor, end the litigation, and get ip.

Just take a look at that stock going into the toilet.

Oh man I can't believe people are still emotional about the Nvidia vs. 3Dfx thing.

Sheesh folks, this was settled a while ago. 3Dfx caused their own demise. They had good products but the bean counters at the top completely mis-managed the company in it's final days.

I agree that given time, and if the suits hadn't suffocated the engineers, 3Dfx would be sharing the lime-light with NVidia and ATI right now, but that's life. A good product is not enough, and 3Dfx made some bad business decisions.

I can't understand how anyone can hold NVidia responsible for what happened. They bought up part of a competitor when the competitior was bleeding money like a stuck pig. That's good business.

NVidia didn't buy the rights to make Voodoo cards, and they didn't want to (and they certainly didn't want to support them).

If you're Ford and you buy a factory from GM, you convert that factory to your needs - you don't start making parts for GM cars.
