Time for upgrade!! Trouble is I havent done anything in 3 years!

Seems to be getting a bit dated seeing as how I havent upgraded in about 3 years. I have...
Athlon XP 2000+
Shuttle AK32
512mb PC2100 (2x 256mb)
80GB WD 8mb Cache IDE
Generic 400w P/S
ATI Radeon 9500 Pro 128mb
I think the video card will still be ok for a while yet (still has great frame rates!) I'm thinking Athlon64 but I'm seeing things about DDR2. Any big difference to standard? I'll probably go to a socket 939 board but have no idea whats good. I've had excellent luck with my shuttle board. Is shuttle offering anything new and great for the Athlon64? I dont plan on overclocking, but would like to explore my options in water cooling for lower temps and quieter operation. Whats out there for kits? Also whats good in the way of air cooled?
Dont really wanna spend any more than $400.
