hardware upgrades...worth the effort?

i have a dell 8300 (p4 2.8, 768mb, raptor sata, 9700pro)...i'm considering one of the dell 8400 package deals and patching some of the old into the new (ram and hd's)...leaving only a need for a new video card since the 8400 is pci-e and my 9700pro is AGP.
i'm wondering if it's worth the effort. the 8400 has a p4 3.2...i would sell off the 17" lcd that comes with it, and the left over 8300 pc. it would work out to be pretty much a wash, except for the cost of a new pci-e card ($300 or so?)
end result:
faster cpu (+400MHz)
faster vid card (from 9700pro to TBD pci-e)
pain: selling off all of the left overs and such
